Menurium Terms of Use and Service
Effective date: 12 March 2026. These Terms are the agreement governing access to and use of the Menurium Services. Please read them before creating an account, purchasing a subscription, managing a restaurant, viewing a menu, making a reservation, or placing an order.
1. Operator, scope and acceptance
1.1
These Terms are issued by LOW TAB STUDIO SRL, with its registered office at Republic of Moldova (the Operator, Menurium, we, us or our).
1.2
These Terms apply to the Menurium website and landing pages, administration portal, iOS and Android applications, restaurant websites and QR menus powered by Menurium, ordering, reservation, delivery, analytics and related tools, APIs, support and other services we make available (collectively, the Services).
1.3
You accept these Terms by creating an account, selecting an acceptance checkbox, purchasing or using a paid plan, or otherwise accessing or using the Services. If you do not agree, do not use the Services. Our Privacy Policy and Cookie Policy apply in addition to these Terms.
1.4
If you accept these Terms for a company, restaurant or other organisation, you represent that you are authorised to bind it. That organisation is responsible for compliance with these Terms by its personnel and other authorised users.
2. Definitions and user categories
2.1
A Business Customer or Restaurant is a business that creates a tenant, subscribes to or uses the Services to manage its locations, menus, personnel, reservations, orders, delivery, branding or analytics.
2.2
An Account Owner is the person who creates or controls a Business Customer account. An Authorised User is an owner, administrator, manager, waiter, delivery worker, kitchen worker, employee or contractor permitted by a Business Customer to use its account.
2.3
An End User is a person who visits a Restaurant page or QR menu, views Restaurant Content, makes a reservation, submits an order or otherwise interacts with a Restaurant through the Services. A Visitor is any other person using a public Menurium website or page.
2.4
Restaurant Content means menus, prices, product descriptions, ingredient and allergen information, photographs, trademarks, opening hours, delivery areas, policies and other information submitted or controlled by a Business Customer. Restaurant Products means food, beverages and other goods or services offered by a Restaurant.
3. Role of Menurium and the Restaurant
3.1
Menurium provides software that enables Restaurants to present and manage Restaurant Content and, where enabled, receive reservations, orders and payments. Menurium is not the Restaurant, food producer, seller, delivery provider or party to the contract for Restaurant Products unless we expressly state otherwise at the point of sale.
3.2
The contract for Restaurant Products is between the End User and the relevant Restaurant. The Restaurant is responsible for fulfilment, product quality and safety, prices, taxes, availability, order acceptance, cancellations, refunds, delivery, consumer information and complaints concerning Restaurant Products.
3.3
Menurium may transmit communications, order or reservation information and status updates between a Restaurant and an End User. A technical acknowledgement does not itself mean that the Restaurant accepted an order or reservation unless the applicable interface clearly says so.
4. Business accounts and authorised users
4.1
Business Customers must provide accurate, complete and current registration, legal, billing and contact information. The Account Owner is responsible for the tenant, its locations, role assignments and all activity performed through its Authorised User accounts, except to the extent caused by Menurium's breach of law or these Terms.
4.2
Account Owners and administrators must grant only appropriate access, keep credentials confidential, use reasonable security measures and promptly revoke access when a person no longer requires it. Accounts and credentials may not be shared between individuals.
4.3
A Business Customer is responsible for ensuring that its Authorised Users are legally permitted to access the data and functions made available to them. It must notify us promptly of suspected unauthorised access or a security incident affecting the Services.
4.4
You must be legally capable of entering into this agreement. Public-facing ordering or reservation features may be used by minors only as permitted by applicable law and under the supervision or consent of a parent or legal guardian where required.
5. Subscriptions, trials and billing
5.1
Features and limits depend on the selected plan and may include online menus, orders, analytics, reservations, delivery, preorders, branding and other functionality. The plan, price, currency, taxes, billing interval, included features and any trial period are shown before purchase or in the applicable order form.
5.2
Unless the checkout or order form states otherwise, paid subscriptions renew automatically for successive billing periods until cancelled. You authorise the applicable billing provider to charge the payment method on file at each renewal. You are responsible for applicable taxes except taxes imposed on our income.
5.3
Payments may be processed by Paddle, which may act as merchant of record or authorised reseller. Paddle's buyer terms govern checkout, payment processing, tax collection, receipts, chargebacks and other matters performed by Paddle. Menurium remains responsible for providing the Menurium software and support.
5.4
Trials may have limited features or duration. Unless otherwise disclosed before the trial starts, a trial does not become paid without selection of a paid plan or other express authorisation. Abuse of trials, including repeated registrations to avoid payment, is prohibited.
5.5
Fees may change for future billing periods. We will give reasonable advance notice of a material price change. Continued use after the change takes effect constitutes acceptance; you may cancel before renewal if you do not agree.
6. Cancellation, refunds and suspension
6.1
A Business Customer may cancel its subscription through the available account or billing portal or by contacting support. Unless mandatory law or the checkout terms require otherwise, cancellation stops future renewals and takes effect at the end of the current paid period; it does not automatically refund that period.
6.2
Refund requests may be submitted to Menurium or, for Paddle-managed transactions, through Paddle's buyer support. Refunds may be granted where required by law or, acting reasonably, for duplicate or unauthorised charges, technical non-delivery, or a material failure we do not remedy within a reasonable time.
6.3
We may limit or suspend access for overdue payment, security risks, unlawful activity, abuse, material breach or conduct that threatens the Services or others. Where reasonably possible, we will give notice and an opportunity to remedy. Immediate action may be taken when necessary to protect users, data, the Services or comply with law.
7. Restaurant Content and responsibilities
7.1
The Business Customer retains its rights in Restaurant Content and grants Menurium a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for technical display, translate where requested, publish and transmit that content only as necessary to provide, secure, support and improve the Services and fulfil the Business Customer's instructions.
7.2
The Business Customer represents that it has all rights and permissions required for Restaurant Content and that the content is accurate, lawful and not misleading. It is responsible for keeping prices, availability, hours, taxes, product descriptions, fulfilment settings and business information current.
7.3
The Restaurant is solely responsible for accurate ingredient, dietary and allergen information and for preventing cross-contamination. End Users with allergies or dietary restrictions should contact the Restaurant directly before ordering; Menurium does not independently verify this information.
7.4
Restaurant Content must not infringe intellectual property, privacy or other rights; be deceptive, defamatory, hateful, obscene or unlawful; contain malware; or advertise prohibited goods or services. We may remove or restrict content that violates these Terms or applicable law.
8. Orders, reservations, payments and delivery
8.1
Before submitting an order or reservation, an End User must review the Restaurant, selected items, quantities, price, fees, fulfilment method, address, time and contact details. The Restaurant may accept, reject or propose changes according to its availability and policies.
8.2
Prices and charges displayed for Restaurant Products are set by the Restaurant unless clearly identified as a Menurium charge. Payment availability varies by Restaurant and may include online third-party processing or payment directly to the Restaurant. The responsible payment provider's terms also apply.
8.3
Cancellation, no-show, pickup, refund and delivery rules for Restaurant Products are determined by the Restaurant and applicable consumer law. End Users should contact the Restaurant first about fulfilment, quality, missing items, allergens, cancellation or refund of Restaurant Products.
8.4
Estimated preparation, reservation and delivery times are estimates supplied by or calculated from information associated with the Restaurant. Delays may occur and Menurium does not guarantee a particular fulfilment time.
9. Acceptable use
9.1
You may not misuse the Services, break applicable law, interfere with operation or security, bypass plan or access restrictions, probe or access systems without authorisation, introduce malicious code, send spam, scrape or harvest data at scale, overload infrastructure, impersonate others or use the Services to harm third parties.
9.2
Except where applicable law cannot prohibit it, you may not copy, resell, sublicense, reverse engineer, decompile or use the Services to create a competing service without our prior written permission. Lawful interoperability rights are not restricted.
10. Intellectual property and feedback
10.1
Menurium and its licensors own the Services, software, designs, documentation, branding and other materials we provide, excluding Restaurant Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose during the agreement.
10.2
If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you as its source without permission.
11. Data protection
11.1
Our Privacy Policy explains how Menurium processes personal data. Cookie and similar-technology use is described in our Cookie Policy. Where required, non-essential technologies are used according to recorded consent choices.
11.2
Depending on the processing activity, a Restaurant and Menurium may each act as an independent controller, or Menurium may process personal data for the Restaurant. Where a data-processing agreement is legally required, it forms part of the Business Customer's agreement with Menurium.
11.3
Business Customers must give legally required notices, obtain necessary permissions, configure access appropriately and respond to requests relating to personal data for which they are responsible.
12. Third-party services and app stores
12.1
The Services may interoperate with payment providers, maps, analytics, authentication, messaging, delivery and other third-party services. Their terms and privacy policies govern their services. We are not responsible for third-party services outside our reasonable control.
12.2
Mobile applications may be distributed through Apple App Store or Google Play. Applicable store terms also apply. The store provider is not responsible for Menurium support, maintenance or claims except to the extent required by its mandatory terms or applicable law.
13. Availability, changes and support
13.1
We aim to provide reliable Services, but they are provided on an “as available†basis. Maintenance, updates, internet or provider failures, emergencies and events outside reasonable control may cause interruptions. We do not promise uninterrupted or error-free operation unless expressly agreed in a separate service-level agreement.
13.2
We may update or change features to improve security, performance, legal compliance or the product. We will provide reasonable notice if a change materially reduces the core functionality of a paid plan during its current billing period, unless an urgent security or legal reason prevents advance notice.
14. Disclaimers and liability
14.1
Nothing in these Terms excludes liability or rights that cannot lawfully be excluded. Mandatory consumer rights remain unaffected.
14.2
To the maximum extent permitted by law, Menurium is not liable for Restaurant Products or Restaurant Content; acts or omissions of Restaurants, End Users or third-party providers; or indirect, incidental, special, consequential or punitive loss, loss of profits, revenue, goodwill or data arising from use of the Services.
14.3
To the maximum extent permitted by law, Menurium's aggregate liability to a Business Customer arising from the paid Services is limited to the fees paid or payable by that Business Customer for the affected Services during the twelve months before the event giving rise to the claim. This limitation does not apply where prohibited by law or to fraud, wilful misconduct, or death or personal injury caused by negligence.
15. Term, termination and data after termination
15.1
These Terms continue while you use the Services. You may stop using public Services at any time. Account Owners may request account closure, subject to outstanding payment, legal retention and Restaurant transaction obligations.
15.2
We may terminate access for material or repeated breach, unlawful use, prolonged non-payment, security risk or discontinuation of the Services. Where reasonably possible, we will provide notice and a chance to remedy.
15.3
On termination, access rights end. Before termination, a Business Customer should export data using available tools. We may delete or anonymise data after a reasonable transition period, subject to our Privacy Policy, backup cycles, legal retention duties and any applicable data-processing agreement.
16. Governing law, complaints and general terms
16.1
These Terms are governed by the laws of the Republic of Moldova. A consumer retains the protection of mandatory law that applies in the consumer's country of habitual residence. Courts with jurisdiction under applicable law may hear disputes; nothing here removes a consumer's mandatory right to bring a claim in an available local forum.
16.2
Please send Service complaints, security notices and reports of unlawful content to [email protected]. Complaints about Restaurant Products should first be sent to the relevant Restaurant. Consumers may also contact the competent consumer-protection authority where applicable.

16.4
We may amend these Terms for legal, security, fraud-prevention, product or operational reasons. We will give at least 14 days' notice of material changes where reasonably possible. Changes required urgently by law or for security may take effect sooner. If you disagree, you must stop using the Services and cancel before the change takes effect.
16.5
If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it as part of a reorganisation, merger, acquisition or transfer of the Services, with notice where required. The English version prevails where legally permitted if translations conflict.
